L.E.G. Constitution

Approved August 7, 2002


I. Name

The name of this organization shall be Little Egypt Grotto (hereafter referred to as LEG or the grotto). This organization is a member of the National Speleological Society, (hereafter referred to as the NSS). This organization is a not for profit organization.


II. Purpose

The purpose of this Grotto shall be the same as that of the National Speleological Society which is to promote interest in and to advance in any and all ways the study and science of speleology, the protection of caves and their natural contents, and to promote fellowship among those interested therein, with the additional purpose of organizing cavers in Southern Illinois to better promote the objectives of the NSS.

 

III. Officers

A. The Little Egypt Grotto shall be governed by an Executive Board (hereafter referred to as the Board) made up of the following officers who are current regular members of the NSS and are regular, lifetime or family members (who are greater than the age of 17) of the grotto and have been duly elected annually by the grotto membership.

4. Treasurer

5. Editor

B. The Board’s purpose shall be to manage the business and finances of the Little Egypt Grotto; to formulate by-laws and policies in a manner consistent with the policies of the NSS; to perform all other necessary operating functions, as deemed appropriate.

C. Decisions or actions of the Board may be overruled by 2/3 majority vote of the grotto membership.

D. All Board members have equal powers.


IV. Meetings

A. The general meetings shall be held at a time and place determined by the Board.

B. Board meetings shall be held at a time and place determined by the Board.

C. A petition signed by a majority of the current voting grotto membership shall require the Board to call a special meeting for the purpose stated in the petition.


V. Constitution and by-laws

The constitution and by-laws of the NSS shall be binding in this grotto. Any action inconsistent with the NSS shall be null and void.


VI. Property

Any NSS property held by this Grotto shall revert to the NSS in the event of dissolution of the grotto.

 

VII. Election of the Board

A. To be eligible for a board position, one must be a current regular, lifetime, or family member who is both an NSS member, greater than the age of 17 and a grotto member, either regular, lifetime or family member for a minimum of one year prior to the current year.

B. The Board shall be elected by a majority of the current grotto membership who are eligible to vote and are present at the date of the election.

C. To vote in the annual election you must meet all of the following criteria:

1. Must be a current regular, associate, lifetime or family member who is greater than the age of 17.

2. Must have been a regular, associate, life time or family member of the grotto, for at least one year prior to the date of the current election.

3. Must be present at the time and location of the current election in order to cast a vote.

D. Nominations shall be held at the last meeting in November. Elections shall be held at the first meeting in December. The new Board shall take office the first meeting in January. Only those eligible to vote may make nominations for election of officers.

E. Any Officer may be removed from office by a 2/3 vote of the membership at the next regularly scheduled meeting following a properly seconded motion by any grotto member.

F. A vacancy exists when a Board member resigns or is removed from office, prior to the completion of the one year term which he/she was elected to fill. A special election shall be held to fill a vacancy, with the exception of the Chairman position. The Vice Chairman shall fill the vacancy of the Chairman. In which case, a vacancy exists in the Vice Chairman position. Nominations are to be held the first meeting following the known vacancy. Election for the vacancy shall take place at the meeting following the nominations. The newly elected individual shall take office at the next regularly scheduled meeting following the vote. Members who are eligible to vote must be present at the date and time of the election to cast a vote.


VIII. Amendments

Amendments to this constitution shall be made by presenting the proposed amendment to the Board. The Board must approve the proposed amendment by a 2/3 vote. The approved proposed amendment shall be presented in writing to the current membership who are eligible to vote in elections of the grotto who shall be given two regularly scheduled meetings to consider the amendment. Approval of the amendment shall be by 2/3 of the eligible voting members who are present at date and time of the vote. Amendments will be filed with the current Constitution and Bylaws of the Grotto and in the Grotto Library.


IX. Previous Constitutions

All other Constitutions shall be considered null and void upon the approval and acceptance of this Constitution.

 

 

L.E.G. By-Laws


I. Amendment of Bylaws

A proposed amendment shall be presented in writing to the Board, who shall provide copies to the membership of the grotto at least 2 weeks prior to the next regular meeting of the Grotto. The proposed amendment shall be read and considered for discussion at the regular meeting referred to above but shall not be acted upon until the following regular meeting of the Grotto. Amendments require a two-thirds vote of the membership present for adoption. Amendments shall be filed with the current Constitution and Bylaws of the Grotto and in the Grotto Library.

 

II. Membership

Membership in LEG is from September 1 to August 31 and is determined by payment of dues which are set by the Board.

Classifications of members:

A. Regular member: A regular member is an individual at least seventeen years of age and who has paid the required dues, as set by the Board. A regular member must be a current NSS member. A regular member has the right to vote , serve on the Board, if eligible, or as committee chairman, receive current issues of the grotto publication and have ability to check out materials from grotto library.

B. Associate Member: An Associate member is an individual at least seventeen years of age who is not an NSS member and has paid the required dues, as set by the Board. An Associate member has the right to vote, serve as committee chairman, receive current issues of the grotto publication and have the ability to check out materials from the grotto library.

C. Family member: A family member is an individual who is the spouse of or a child between the ages of 10 – 17 of a regular or associate member . Family members do not receive the grotto publication. Family members who are NSS members AND greater than the age of 17, may nominate candidates for and vote in grotto elections.

D. Life time member: Any member who has been awarded a lifetime membership by a LEG Board in recognition of service to the Grotto, prior to 1986 and is a current NSS member. Life time members have the same privileges as a regular member.

E. Subscriber: Any individual who pays the subscriber fee as determine by the Board, but who is not a current member. A subscriber is not a member of LEG and does not have the privilege of voting on any grotto issues or in elections.

 

III. Duties of the Officers

Chairman:

A. Preside over the regular meetings of the grotto.

B. Preside over the board meetings.

C. Most often serves as co-signer for grotto checking account and other financial documents.

D. Complete and submit the NSS and MSS annual reports.

E. See that the grotto carries out its duties and purpose.

F. Delegate duties and tasks as deemed appropriate.

Vice-Chairman:

A. Assume duties of the chairman in his/her absence.

B. Keep order at all regular grotto and board meetings.

C. Has the authority to remove any members or guests from a meeting or grotto activity who may be unruly or causing a disturbance.

D. Responsible for familiarizing and educating new members.

E. Maintain accurate and current log of grotto Trip Leaders. Provide report to Board and membership as necessary.

Secretary:

A. Keep accurate minutes of the regular and board meetings of the grotto.

B. Take charge of all grotto correspondence.

C. Provides written agenda for Board and regular meetings of unfinished business.

D. Responsible for putting meeting notice in media, as deemed appropriate by Board.

Treasurer:

A. Maintain an accurate and current set of financial records .

B. Provide timely, written financial reports to Board and Membership, as necessary.

C. Collect dues and fees, as necessary.

D. Maintain an accurate record of the membership status of all members and distribute as necessary to Board and Membership.

E. Responsible for all disbursements of grotto funds. Co-signs for disbursements. Note: Unless fiscally inappropriate, the co-signer for grotto accounts should be the Chairman of the Board. If fiscally inappropriate, an alternate co-signer should be determined by the Board.

Editor:

A. Edit and produce the grotto publication.

B. Responsible for news releases.

C. Responsible for exchange of publications with other grottos and organizations.

 

IV. Other Grotto positions

Regular, associate, lifetime and family members who are greater that the age of 17, may be appointed to the following or other non-Board positions by the Board as deemed necessary:

Equipment Chairman:

A. Keep a n inventory of and store grotto equipment.

B. Responsible for maintaining the equipment in working order.

C. Collect equipment rental fees and submit to Treasurer.

D. Maintain equipment check out records and submit written reports to Board and Membership, as deemed necessary.

Librarian:

A. Responsible for the grotto archives and library inventory.

B. Store and maintain all maps, files and exchange publications received by the grotto.

Key Custodian:

A. Maintain accurate and complete record of key distribution and holders.

B. Provide report of key holders to Board and Membership, as deemed necessary.

C. Maintain locks and keys to cave accesses as deemed appropriate.

Conservation Committee Chairman:

A. Responsible for sign-in logs kept in caves under the Grotto’s responsibility.

B. Organize and conduct conservation projects for the Grotto.

Rescue Committee Chairman:

A. Maintain rescue call out list.

B. Maintain current contacts with other rescue agencies/committees as Grotto deems appropriate.

MSS Director:

A. Attend MSS meetings as representative of Grotto.

B. Submit MSS affiliation report.

C. Coordinate Missouri exploration/caving activities.

ISS Director:

A. Attend ISS meetings, as representative of Grotto.

B. Submit ISS affiliation report.

C. Coordinate Illinois exploration/caving activities.

Special Projects Coordinator:

A. Organizes and plans special grotto projects and activities.

Trip Leader:

A regular, associate, life time or family member who is greater than 17 years of age, who has been deemed a Trip Leader by the Board. The Board shall consider nominations for trip leader status when two letters of recommendation are submitted to the Board by two current Trip Leaders. Letters of recommendation should include information regarding the individual’s overall caving abilities, ethics and character.


V. Meetings

All meetings, both regular and board of LEG shall be governed by Robert’s Rules of Order.


VI. Misdemeanors

A. Commission of a misdemeanor shall be determined by the Board. A misdemeanor may consist of one or more of the following, but are not limited to:

1. Any deliberate act of cave vandalism.

2. An action contrary to the policies of the grotto or the NSS.

3. A negative attitude or action toward the grotto, cave safety or cave conservation.

B. Conviction of a misdemeanor may result in disciplinary action, up to and including expulsion, as determined appropriate by the Board.


VII. Previous By-Laws

All other bylaws shall be considered null and void upon the approval and acceptance of these bylaws.


VIII. Policies

Policies of LEG shall be determined by each Board, annually. Policies may include but are not limited to the following: Membership Dues, Equipment Fees, Trip Leader criteria.

LEG “76” Camp Out – Nov. 9-11, 2012

The LEG annual campout will be held from the Friday evening of Nov. 9 through Sunday 11th.  We will be camping just up the road from the 76 Conservation Area near Perryville, MO.  Plan for a weekend of camping, caving, and campfires!  Saturday night there will be a monster pot of chili for all!  If you plan to join us, please let me know in order to make it easier to plan the meal etc!

The campout is a great time and a good excuse to get away for the weekend.  This will be a kid friendly weekend with multiple small caving trips.  If you have any further questions, just let us know.  Hope to see everybody there!

Mississippi Valley Ozark Region

In addition to our  other associations, many Grotto members are also members of the Mississippi Valley Ozark Region (MVOR). The MVOR is a regional caving organizion that consists of cavers primarily in the state of Missouri and it’s surrounding states, including Illinois, western Kentucky, western Tennessee, eastern Oklahoma, northern Arkansas, southern Iowa, eastern Indiana and eastern Kansas. The MVOR holds meetings twice a year, spring and fall. The meetings are rotated with-in the various states and are hosted by the various grottos within the region.

National Speleological Society

National Speleological Society

All board members as well as many individual members are members of the National Speleological Society (NSS).  Those Grotto members whom are also NSS members receive a discount in their annual dues to the Grotto.  The Little Egypt Grotto has been an affiliate of the National Speleological Society since 1964.



Illinois Speleological Survey

The Illinois Speleological Survey (ISS) is a private, nonprofit organization dedicated to protecting, conserving, locating, recording, exploring and studying caves and karst in Illinois.

Missouri Speleological Survey

The MSS is a not-for profit organization of individuals and groups who are engaged in study and research on caves and karst features in Missouri. The Survey supports research and promotes cave conservation throughout the state. To further these purposes the Survey publishes journals, maps,and catalogues on the cave resources of the state. Funds for operations comes from the memeberships, affiliation fees, publications and from grants and gifts. The most descriptive term to describe the activities of the MSS would be “cooperative” in which many people cooperate with each other for a common goal – the study of caves in Missouri.

Many grotto members are members of the MSS and/or the ISS.

 

Associations

The Grotto has been an affiliate of the National Speleological Society(NSS), since 1964.

More locally, the Grotto is one of many grottos associated with the Missouri Speleological Survey (MSS) and the Illinois Speleological Survey (ISS). Both of these organizations are designed to promote cave and karst awareness of the cave resources and information for their respective states.
